**1. Acceptance of Terms**
By accessing or using ProofOK’s services, website, and related platforms (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and ProofOK (“Company,” “we,” “us,” or “our”).
If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
**2. Service Description**
ProofOK provides professional proofreading, editing, and document review services including:
• Proofreading Services: Correction of grammar, spelling, punctuation, and typographical errors
• Editing Services: Review and refinement of sentence structure, clarity, and readability
• Document Review: Assessment of formatting, consistency, and style guidelines
• Turnaround Options: Various delivery timeframes depending on document length and service level
• Confidential Handling: Secure transmission and processing of documents
**3. User Responsibilities**
You agree to:
• Provide accurate information during registration and use of the Service
• Maintain the security of your account credentials
• Ensure all content you submit is lawfully owned or properly licensed by you
• Use the Service only for lawful purposes
• Not submit content that is defamatory, obscene, offensive, or unlawful
• Notify us immediately of any security breach or unauthorized use of your account
**4. Intellectual Property**
**4.1 Your Content.** You retain all ownership rights to the documents and content you submit (“Your Content”). By submitting Your Content, you grant ProofOK a limited, non-exclusive license to use, reproduce, and process Your Content solely for the purpose of providing the Services.
**4.2 Our Services.** The output, corrections, edits, and recommendations provided by ProofOK (“Work Product”) become your property upon delivery and full payment. ProofOK does not retain any rights to Work Product after delivery.
**4.3 Our Content.** All content on the ProofOK website, including text, graphics, logos, and software, is the property of ProofOK or its licensors and is protected by intellectual property laws.
**5. Payment and Billing**
**5.1 Fees.** All fees for Services are displayed on our website or quoted in writing before services are rendered. Prices are subject to change with notice.
**5.2 Payment.** Payment is due as specified at time of order. We accept major credit cards and other payment methods as listed on our website.
**5.3 Refunds.** Due to the nature of our services, all sales are final once Work Product has been delivered. If you have concerns about the quality of service received, contact us within 7 days of delivery and we will work to address your concerns.
**6. Confidentiality**
ProofOK treats all documents and content submitted by users as strictly confidential. We do not share, publish, or disclose any customer content to third parties except as required to perform the Services or as mandated by law.
**7. Disclaimers**
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ProofOK does not warrant that the Service will be uninterrupted, secure, or error-free.
**8. Limitation of Liability**
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ProofOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER SUCH LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.
ProofOK’s total liability under these Terms shall not exceed the amount you paid for the specific Services giving rise to the claim.
**9. Indemnification**
You agree to indemnify, defend, and hold harmless ProofOK, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service or violation of these Terms.
**10. Termination**
ProofOK reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, for any reason including but not limited to:
• Violation of these Terms
• Fraudulent or illegal activity
• Failure to pay for Services rendered
• Failure to respond to communications for more than 30 days
**11. Governing Law**
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles.
**12. Dispute Resolution**
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, either party may pursue other legal remedies available under applicable law.
**13. Changes to Terms**
ProofOK reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised “Last Updated” date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
